With respect to business and real estate transactions, S&A regularly handles business purchase and sale agreements, asset purchase agreements, business lines of credit and financing, as well as all aspects of real estate acquisition, financing, and sales. S&A has represented dozens of clients in the purchase and sale of existing businesses and assets, and the start-up of new businesses. Representative transactional matters include:
- Representation of restaurant business with its corporate restructuring, formation of the parent company, dozens of subsidiary and affiliate entities that owned restaurant locations with investors. Negotiated and drafted leases for over 20 locations in New York City and Miami, FL.
- Represented an investment group with acquisition of five decommissioned electrical power plants and resale of the assets after repositioning and restructuring.
- Representing a group of foreign investors with the formation and corporate structuring of restaurants in Miami, FL.
- Representation of property owner and developer with respect to all design and construction contracts for the largest development in Miami.
- Represented clients in real estate acquisition in Los Angeles, including the formation and structuring of a real estate limited liability company.
- Represents clients on several corporate, commercial, employment, real estate, and labor matters.
- Representation of several corporate and employment & wage matters, including cross-jurisdictional issues of law involving employment benefits and contracts.
With respect to litigation and commercial arbitration, S&A has handled several corporate and business disputes between shareholders, partners, and/or members, involving complex issues such as of fiduciary duties, removal of directors and officers, dissolutions, derivative corporate actions, forced buyouts, freeze out mergers, judicial dissolutions, business divorce, minority oppression, complex accounting issues, business valuation disputes, books and records issues, among several other, which require highly sophisticated advice. Our attorneys are versatile, with extensive experience in litigation and arbitration that gives us unique insights, and an edge over peers who focus primarily on transactions or litigation, but rarely both.
Other representative matters include:
- Representation of independent distributor with exclusive distribution rights in North America for lift machines, in the United States District Court Southern District of Florida (Miami Division), which resulted in a favorable settlement for our client
- Representation of ecommerce business in the athletic clothing space in a complex partnership dispute over a new line of business, in Florida State Court in Miami, which resulted in our client purchasing all rights and assets of the business through a receivership sale.
